3. Authorized Business Scope & Service Capabilities APEX Commercial Maintenance Central Corp. is authorized to engage in any lawful act or activity under Ohio Revised Code Sections 1701.01 to 1701.98. The Corporation's principal business functions are specialized and aligned as follows:
Commercial Facility Maintenance: Delivering responsive and preventative maintenance, asset management, and structural services to commercial, industrial, and retail facilities, specifically optimized to integrate with centralized digital vendor networks including DMG Pro.
Specialized Mechanical & Trade Services: Performing professional HVAC/R installation, diagnostics, and repairs; commercial plumbing diagnostics, updates, and expansions; and comprehensive commercial electrical repairs, layout expansions, and system inspections in accordance with applicable Ohio structural and building codes.
Roofing & Envelope Management: Executing commercial roofing maintenance, structural leak remediation, weatherization, and preventative patch management.
Apparatus & Specialty Repair: Delivering precision repairs, electronic diagnostics, and parts fulfillment for commercial vending machinery and facility equipment.
Workforce Development & Public Grants: Utilizing specialized state, federal, or corporate workforce programs to train, upskill, and employ individuals in professional building trades, expanding vocational opportunities and business footprint nationwide.

In accordance with the corporate charter, any amendments, modifications, alterations, or repeals of the Articles of Incorporation or the internally adopted Code of Regulations require the joint written authorization and endorsement of both the Chief Executive Officer and the Corporate Treasurer.
5. Fiscal, Banking, Capitalization & Financial Controls Pursuant to Ohio Revised Code § 1701.04(B)(3) and Article VI of the charter, the Corporation adheres to the following strict internal financial mandates:
Deposit Requirements: All corporate revenues, including Automated Clearing House (ACH) client payouts, must be deposited in a designated FDIC-insured banking institution in Ohio.
Joint Authorizations: The establishment of all corporate bank accounts, credit lines, or secondary funding channels requires the joint approval and execution of the CEO and Corporate Treasurer.
Disbursement Limits: Individual Executive Management Officers are limited to disbursements or transfers of a maximum of $2,000.00 within any 90-day period from corporate accounts, unless backed by two administrative endorsements or in compliance with approved quarterly allocations.
Quarterly Trust Allocations: The Executive Board has designated a corporate trust (bearing the acronym "SKT") as a quarterly beneficiary of up to 50% of the Corporation's net quarterly earnings.
